Terms of Service

1. Acceptance of Terms

By creating an account or using the Koda Vision platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have authority to bind that organization to these Terms.

2. Description of Service

Koda Vision is a SaaS platform that ingests, audits, and rewrites digital content using AI-assisted workflows. The Service includes web dashboards, API access, programmatic publishing to connected content management systems, and downloadable reports.

3. Account Registration

You must provide accurate registration information and keep it current. You are responsible for safeguarding your authentication credentials (including passkeys and API tokens) and for all activity that occurs under your account. Notify us immediately at security@koda-vision.com of any unauthorized use.

4. Subscription and Billing

Paid plans renew automatically until cancelled. Pricing displayed at the moment of subscription governs the active billing period. Refunds follow the policy posted on the pricing page. Taxes are calculated at checkout based on the billing address. Failure to pay may result in suspension; data is retained for at least 30 days following suspension before deletion.

5. Acceptable Use

You agree not to:

  • submit content that is unlawful, defamatory, infringes intellectual property, or violates third-party privacy;
  • attempt to reverse-engineer, probe, or interfere with the Service beyond the scope of the published API;
  • use the Service to generate content for purposes that violate the terms of any connected platform (e.g. WordPress, Shopify);
  • send unsolicited bulk communications via the Service.

6. Intellectual Property Rights

Koda Vision retains all rights in the Service’s software, models, prompts, and underlying technology. You retain all rights in content you submit. By submitting content, you grant Koda Vision a limited license to process it solely to provide and improve the Service consistent with our Privacy Policy.

7. Content and Confidentiality

Content you upload remains your data. We treat it as confidential, store it in the regional database (see Data Protection below), and do not use it to train foundation models without an explicit opt-in agreement.

8. Data Protection (GDPR, DPDP, CCPA)

We process personal data as described in our Privacy Policy and, for EU customers, under the Data Processing Addendum. You may exercise your data subject rights — access, rectification, erasure, portability, and objection — at any time via our DSAR portal.

9. Termination

You may cancel your subscription at any time from the account portal. We may terminate or suspend your account for material breach of these Terms with reasonable notice. Upon termination your data export is available for 30 days; after that we delete or anonymize it per the Privacy Policy retention schedule.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Koda Vision will not be liable for indirect, incidental, special, consequential, or punitive damages, or for any loss of profits or revenues, whether incurred directly or indirectly. Our total liability for any claim arising out of or relating to the Service is limited to the amount you paid us in the twelve months preceding the claim.

11. Governing Law

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-laws provisions, except where mandatory consumer-protection or data-protection laws of your country of residence apply. Disputes are resolved in the courts of New Castle County, Delaware, except where exclusive jurisdiction is required by applicable law.

12. Updates to These Terms

We may update these Terms from time to time. Material changes will be announced at least 30 days in advance via email and an in-app banner; continued use after the effective date constitutes acceptance. The current version and effective date are pinned at the top of this page.
